Here set out, in numbered clauses are the By-laws providing for the matters referred to in the Canada Corporations Act and any other By-laws.
Part 1 - Interpretation
- In these By-laws, unless the context otherwise requires:
- “Affiliate Member” means a business association accepted by the Directors as an Affiliate Member as provided in By-law Part 2 - 4;
- “Corporate Member” means a company as accepted by the Directors as a Corporate Member as provided in By-law Part 2 - 4;
- “Individual Member” means a person accepted by the Directors as an Individual Member as provided in By-law Part 2 - 4;
- “Honorary Advisor” means a person accepted by the Directors as an Honorary Advisor to the Board of Directors for the period of one year as provided in By-law Part 2 - 4;
- “Directors” means the Directors of the Non-Profit Corporation for the time being;
- “Officers” means the Officers of the Non-Profit Corporation for the time being;
- “Office” means street accessible office, to meet the purpose of the Non-Profit Corporation;
- “Registered Address” of a Member means the Member’s address as recorded in the register of Members.
- “Canada Corporations Act” means the Canada Corporations Act from time to time in force and all amendments to it;
- “Minister” means Federal Minister of Industry;
- “Non-Profit Corporation” means a federal corporation without share capital regulated by Part II of the Canada Corporations Act; and
- “Term” means the time between the annual general meeting and the immediate next annual general meeting.
- The definitions in the Canada Corporations Act on the date these By-laws become effective, apply to these By-laws.
