Part 8 - Seal

23. Affixing the common Seal is not required to certify documents issued by the Non-Profit Corporation. The Directors may provide a common Seal for the Non-Profit Corporation and they shall have the power from time to time to destroy it and substitute a new seal in place of the destroyed seal.
24. The common Seal shall be affixed only when authorized by a resolution of the Directors in the presence of the persons specified in the resolution or if no persons are specified, in the presence of the Chair and one other member of the Executive.

Part 9 - Borrowing

25. In order to carry out the purposes of the Non-Profit Corporation, the Directors may on behalf of and in the name of the Non-Profit Corporation, raise or secure the payment or re-payment of money in such manner as they decide. No debenture shall be issued without the authorization of a special resolution.

Part 10 - Auditor

26.
  1. The first auditor shall be appointed by the Directors. At each annual general meeting, the Non-Profit Corporation shall appoint an auditor to hold office until the auditor is elected at the next annual general meeting and the auditor may attend the annual general meeting.
  2. The Auditor shall audit the accounts of the Non-Profit Corporation and shall report to the Members at the Annual General meeting.

Part 11 - Notices to Members

27. A notice may be given to a Member either personally, by e-mail or by mail according to the Member’s registered address.
28. Notice of a general meeting shall be given to every Member and the Auditor as shown in the registry thirty (30) days prior to the annual general meeting.

Part 12 - By-Laws

29. After being admitted to membership, a Member is entitled to a copy of the Constitution and By-laws.
30. These By-laws shall not be altered or amended, except by special resolution. The repeal of amendment of By-Laws not embodied in the letters patent shall not be enforced or acted upon until the approval of the Minister has been obtained.
